This Onboarding Agreement (the “Agreement”)  outlines all terms of enrollment into Steadfast Financial Consulting, Inc., a Florida limited liability company with its principal place of business at 18312 Wayne Road, Odessa FL, 33556 and d/b/a UNCHAINED LEADER (hereinafter “UNCHAINED LEADER”), and is entered into on the “Effective Date” (herein defined by the date of signature) by and between UNCHAINED LEADER and the Undersigned (hereinafter the "Student").  

By signing this Agreement , the parties acknowledge: (a) to have read the Agreement, (b) to understand the Agreement, and (c ) to accept and agree to be bound by the Agreement’s terms.

WHEREAS, UNCHAINED LEADER is in the business of providing coaching services to its clients.

WHEREAS, Student desires to enroll in the services  provided by UNCHAINED LEADER as set forth in this Agreement.

NOW, THEREFORE, the parties agree as follows:

SECTION 1: Service and Program Fees

1.1. Services: UNCHAINED LEADER agrees to provide Student with the services and coaching  in the form of Webinars, Audio and/or Visual Presentations, periodic personal coaching and evaluation, and mandatory assignments related to the foregoing services (collectively “Services”). Student acknowledges and agrees that UNCHAINED LEADER has limited resources in order to provide Services to its other students, and that because of this Student’s active participation in the Services, including any and all mandatory assignments, are specific and material inducement to UNCHAINED LEADER entering into this Agreement with Student. 

1.2. Service Fees: By accepting the terms of this Agreement, Student agrees and commits to pay UNCHAINED LEADER the agreed upon fee set forth in Section C of the Preliminary Terms (hereinafter the “Fee” or “Fees” as the context dictates). 

Student is not entitled to a  chargeback of any Fees and agrees to not  chargeback from any bank or credit card company in connection with the Fees paid pursuant to the Agreement for any reason. All payments of Fees made to UNCHAINED LEADER pursuant to this Agreement are final and are not refundable for any reason except for the terms outlined in Section 1.3. Student agrees that any disputes that Student may have with respect to consideration paid hereunder must be addressed directly between Student and UNCHAINED LEADER. If a chargeback occurs, Student shall have materially breached the Agreement and shall forfeit all remaining services that have not yet been performed under the Agreement. UNCHAINED LEADER shall have no further obligation to Student. Further, UNCHAINED LEADER shall be entitled to recover from Student all damages, including reasonable attorneys’ fees, and costs associated with pursuing collection and/or recovery of the amount of the chargeback.

1.3. Money-Back Guarantee: Student has the option to request a full refund in the event they are not satisfied with the UNCHAINED LEADER Program. Student agrees to the terms of UNCHAINED LEADER’s Money-Back Guarantee. Terms are outlined as follows.

To qualify for a full refund, Student must, without any exception, have satisfied the following conditions:

-- Student has completed the full 90 days of the Program

-- Student has diligently fulfilled any and all mandatory assignments as provided by UNCHAINED LEADER and its Coaches and has attended and actively participated in weekly Coaching Calls.

-- Student has actively reached out for support and guidance throughout the term of their enrollment during moments of trial and/or difficulty.

With all the above-mentioned satisfied, if Student is still not satisfied with the UNCHAINED LEADER Program, Student can request a full refund. Refund requests must be submitted within 7 days of the end of the term of this Agreement (90 days). Student agrees to attend a 1:1 Zoom Call with the Company Owner to discuss and fulfill the refund request. Refunds excluded any transaction fees or charges incurred from the initial transaction. Discussing 1:1 with a designated Team Member of UNCHAINED LEADER is a requirement for receiving UNCHAINED LEADER’s Money-Back Guarantee.

SECTION 2: Term

2.1. Duration: The term of this Agreement (hereinafter the “Term”) shall commence on the Effective Date and continue for a period of 90 days  thereafter. Student understands and agrees that UNCHAINED LEADER is a 90-day commitment and agrees to engage and participate in the Services to their fullest extent throughout the duration of the commitment. Because UNCHAINED LEADER is invested in the success and growth of their students, Student understands and agrees to the importance of finishing the program’s 90-day commitment, and agrees to seek help and guidance in the event of Student losing focus or changing priorities. 

SECTION 3:  Restrictive Covenants

3.1. Confidentiality: Student understands and agrees to keep any information shared by UNCHAINED LEADER Services or Student’s peers participating in the Services provided by UNCHAINED LEADER fully confidential. This includes without limitation login credentials and  all sensitive information discussed in relation to said Services. This provision shall survive any termination of this Agreement.

3.2. Intellectual Property Rights/Restrictions/Assignment Rights: All existing intellectual property associated with UNCHAINED LEADER shall remain the exclusive property of UNCHAINED LEADER. Any intellectual property created by or with the assistance of the Student following the execution of this Agreement shall also be deemed the exclusive property of UNCHAINED LEADER. Student hereby irrevocably assigns any and all interests in such intellectual property to UNCHAINED LEADER.

3.3. Non-Solicitation Of Students: Student understands and acknowledges that because of the Student's relationship to UNCHAINED LEADER the Student will have access to some of UNCHAINED LEADER's Client Information as made public to all students in the e-Community. 

"Client Information" includes, but is not limited to, names, phone numbers, addresses, email addresses, social profiles, and other information identifying facts and circumstances specific to the client. Student understands and acknowledges that: (i) UNCHAINED LEADER’s relationships with its clients is of great competitive value; (ii) UNCHAINED LEADER has invested and continues to invest substantial resources in developing and preserving its client relationships and goodwill; and (iii) the loss of any such client relationship or goodwill will cause significant and irreparable harm to UNCHAINED LEADER.

Student agrees and covenants, for the duration of their Membership and for a period of two (2) years thereafter, not to directly or indirectly solicit, or attempt to solicit, any other active student of UNCHAINED LEADER, using any other form of oral, written, or electronic communication, including, but not limited to, email, regular mail, express mail, telephone, fax, instant message, or social media, including but not limited to Facebook, LinkedIn, Instagram, Twitter, TikTok, or any other social media platform, whether or not in existence at the time of entering into this agreement, or meet with UNCHAINED LEADER's current, former, or prospective clients for purposes of recruitment or accepting goods or services similar to or competitive with those offered by UNCHAINED LEADER. 

3.4. Non-Compete Agreement: Because of UNCHAINED LEADER's legitimate business interest as described in this Agreement and the good and valuable consideration offered to the Student, the receipt and sufficiency of which is acknowledged, during the Restricted Period (hereinafter defined) the Student agrees and covenants not to engage in Prohibited Activity (hereinafter defined) within the Restricted Territory (hereinafter defined). 

"Restricted Period" means the period of Student's engagement with UNCHAINED LEADER and 2 years immediately following the termination of Student's engagement with UNCHAINED LEADER, regardless of the reason for the termination, whether voluntary or involuntary. "Restricted Territory" means the State of Florida. 

"Prohibited Activity" is activity in which Student contributes Student's knowledge, directly or indirectly, in whole or in part, as an employee, employer, owner, operator, advisor, consultant, contractor, agent, partner, director, stockholder, officer, volunteer, intern, or any other similar capacity to an entity engaged in the same or similar business as UNCHAINED LEADER. 

Prohibited Activity also includes activity that may require or inevitably require the use or disclosure of trade secrets, proprietary information, or Confidential Information.

3.5. Confidential Information and Non-Disclosure Requirements: Student understands and acknowledges that during the course of engagement with UNCHAINED LEADER, Student will have access to and learn about “Confidential Information”. 

For purposes of this Agreement, "Confidential Information" includes, but is not limited to, all information not generally known to the public, in spoken, printed, electronic, or any other form or medium, relating directly or indirectly to: business processes, practices, methods, policies, plans, publications, documents, research, operations, services, strategies, techniques, agreements, contracts, terms of agreements, transactions, negotiations, know-how, trade secrets, computer programs, computer software, software design, web design, work-in-process, technologies, databases, embedded data, metadata, manuals, records, articles, systems, financial information, results, accounting information, accounting records, legal information, marketing information, advertising information, pricing information, credit information, design information, payroll information, staffing information, personnel information, reports, market studies, sales information, revenue, costs, notes, communications,  inventions, unpublished patent applications, original works of authorship, discoveries, experimental processes, experimental results, specifications, customer information, customer lists, client information, and client lists of UNCHAINED LEADER or its businesses, or any summaries, notes, or compilations regarding any Confidential Information.

Student understands that the above list is not exhaustive, and that Confidential Information also includes other information that is marked or otherwise identified or treated as confidential or proprietary, or that would otherwise appear to a reasonable person to be confidential or proprietary in the context and circumstances in which the information is known or used.

Student understands and agrees that Confidential Information includes information developed by Student in the course of Student's engagement by UNCHAINED LEADER as if UNCHAINED LEADER furnished the same Confidential Information to Student in the first instance. Confidential Information shall not include information that is generally available to and known by the public at the time of disclosure to Student, provided that the disclosure is through no direct or indirect fault of Student or person(s) acting on Student's behalf.

Student understands and acknowledges that UNCHAINED LEADER has invested, and continues to invest, substantial time, money, and specialized knowledge into developing its resources, creating a customer base, generating customer and potential customer lists, training its employees, and improving its offerings. Student understands and acknowledges that as a result of these efforts, UNCHAINED LEADER has created and continues to use and create Confidential Information. This Confidential Information provides UNCHAINED LEADER with a competitive advantage over others in the marketplace.

Student Agrees and Covenants:

-- to treat all Confidential Information as strictly confidential;

-- not to directly or indirectly disclose, publish, communicate, or make available Confidential Information, or allow it to be disclosed, published, communicated, or made available, in whole or part, to any entity or person whatsoever  not having a need to know and authority to know and use Confidential Information in connection with the business of UNCHAINED LEADER and, in any event, not to anyone outside of the direct employ of UNCHAINED LEADER except as required in the performance of Student's authorized engagement duties to UNCHAINED LEADER or with the prior consent of UNCHAINED LEADER in each instance (and then, such disclosure shall be made within the limits and to the extent of such duties or consent); and

-- not to access or use any Confidential Information, and not to copy any documents, records, files, media, or other resources containing any Confidential Information, or remove any such documents, records, files, media, or other resources from the premises or control of UNCHAINED LEADER, except as required in the performance of Student's authorized engagement duties to UNCHAINED LEADER or with the prior consent of UNCHAINED LEADER in each instance (and then, such disclosure shall be made within the limits and to the extent of such duties or consent).

Student understands and acknowledges that Student's obligations under this Agreement regarding any particular Confidential Information begins immediately when Student first has access to the Confidential Information (whether before or after beginning engagement with UNCHAINED LEADER) and shall continue during and after the Student's engagement by UNCHAINED LEADER until the time that the Confidential Information has become public knowledge other than as a result of Student's breach of this Agreement or breach by those acting in concert with Student or on Student's behalf.

3.6. Limited Liability: By entering into this Agreement, you acknowledge and agree to the following:

-- UNCHAINED LEADER is not a certified medical professional or healthcare provider; any advice, guidance, or coaching provided by UNCHAINED LEADER are not intended as medical treatment or a substitute for professional medical advice. It is important that you consult with a qualified healthcare professional or licensed medical practitioner regarding any personal health concerns or conditions.

-- UNCHAINED LEADER is designed to provide coaching and support to men seeking to overcome pornography and masturbation habits. While UNCHAINED LEADER strives to provide accurate and effective guidance, it does not guarantee any specific results or outcomes. Individual results may vary, and the success of the Program relies on your commitment, effort, and personal circumstances.

-- If you have a pre-existing medical condition or require medical treatment, it is essential that you seek appropriate medical care from a qualified healthcare professional. UNCHAINED LEADER cannot be held liable for any adverse effects, complications, or consequences arising from your failure to seek professional medical assistance when necessary. You acknowledge that it is your responsibility to disclose any relevant medical information to your healthcare provider and to follow their recommendations. Furthermore, in the event that UNCHAINED LEADER is  made aware of any crimes, intent to commit a crime, or have reasonable belief a Student may harm themselves or others, UNCHAINED LEADER is  required to report information to appropriate authorities.

-- You understand and accept that UNCHAINED LEADER, its coaches, employees, fiduciaries, and representatives shall not be held liable for any claims, damages, losses, or injuries arising from your participation in the UNCHAINED LEADER. This includes, but is not limited to, any direct, indirect, special, or consequential damages, as well as any claims resulting from negligence, breach of contract, or malpractice.

SECTION 4: Miscellaneous

4.1. Recitals and Preliminary Information Table: The recitals and Preliminary Information Table set forth prior to the terms of this Agreement are hereby incorporated by reference as if fully restated herein.  

4.2. Non-Transferability: The rights and obligations under this Agreement are personal to Student. Student may not assign or transfer any rights or obligations under this Agreement without the express written consent of UNCHAINED LEADER.

4.3. Indemnification: Student will, at Student’s own expense, defend, indemnify, and hold harmless UNCHAINED LEADER, its agents, and employees from any and all claims, actions, liabilities, injuries, damages, losses, grants, costs, and expenses, including attorney fees, arising out of or in connection with any unauthorized use of the Program(s) by the Student.

4.4. Integration: This Agreement, represents the entire Agreement between Student and UNCHAINED LEADER concerning the Program, and this Agreement supersedes and replaces any prior proposal, representation, or understanding Student may have had with UNCHAINED LEADER relating to the Program, whether oral or written.

4.5. Amendment: UNCHAINED LEADER reserves the right, in its sole discretion, to amend this Agreement from time to time by posting an updated version of the Agreement prior to execution.

4.6. Governing Law: This Agreement shall be governed by and interpreted in all respects in accordance with the laws of the United States and the state of Florida. The venue for any dispute shall be in the state of Florida.

4.7. Attorneys' Fees and Legal Expenses: If any proceeding or action shall be brought to recover any amount under this Agreement, or for or on account of any breach of, or to enforce or interpret any of the terms, covenants, or conditions of this Agreement, the prevailing party shall be entitled to recover from the other party, as part of the prevailing party's costs, reasonable attorneys' fees, the amount of which shall be fixed by the court, and shall be made a part of any award or judgment rendered.
